5. Registration and Account
5.1. To use certain services, it may be necessary to create an account. You are responsible for maintaining the confidentiality of your account and password.
5.2. You agree to provide accurate, current, and complete information during the registration process and to keep this information up to date.
6. Payments
6.1. Payments are made according to the terms agreed upon in each service contract. If payment is not received as agreed, the service may be paused until the account is current.
6.2. Costs of third-party services (such as hosting, external APIs, or advertising platforms) are paid directly by the client to those providers.
7. Client Responsibilities
7.1. The client must provide timely access to systems, information, and resources necessary for IQ Source to execute the contracted services.
7.2. The client must provide the necessary materials (texts, specifications, images, logos, etc.) for IQ Source to develop the agreed deliverables.
7.3. The client must follow IQ Source's technical recommendations, which are based on industry best practices designed to maximize quality and project success.
7.4. The client is responsible for obtaining the necessary permissions and licenses for the use of any third-party content or software they provide.
8. Deliverables
IQ Source's deliverables to the client are specifically defined in each service contract and include, but are not limited to:
- Source code and technical documentation
- Web and mobile applications
- APIs and integrations
- Audit and consulting reports
- Marketing strategies and plans
- Access to platforms and dashboards
9. Technical Support
9.1. IQ Source provides technical support according to the terms defined in each service contract.
9.2. Standard support is available during business hours Monday through Friday. Extended support terms can be agreed upon according to client needs.
10. Intellectual Property
10.1. Unless specifically agreed otherwise, the client will own the source code and deliverables developed specifically for their project once payment is completed.
10.2. IQ Source retains ownership of its tools, methodologies, frameworks, and reusable components developed independently.
10.3. Each party retains ownership of its pre-existing intellectual property.
11. Confidentiality
11.1. Both parties agree to maintain the confidentiality of sensitive and private information related to the other party's business.
11.2. IQ Source will not disclose or communicate information related to the client's business or products, including (but not limited to) customer lists, price points, or business plans.
11.3. The client will not disclose or communicate sensitive and private information related to IQ Source's business or specific information about its proprietary methodologies or components.
12. Contract Termination
12.1. In case of contract termination, IQ Source will return or destroy any physical or digital copies of client-owned information in its possession, as agreed.
12.2. IQ Source will provide all deliverables completed up to the termination date, subject to corresponding payment.
13. Early Termination
Either party wishing to terminate the contract early must notify the other party in writing 30 days in advance, unless another period is agreed upon in the specific contract. During this period, both parties will continue to fulfill all their obligations.
14. Right to Cancel Service
14.1. IQ Source reserves the right to cancel the client's access to the service and/or the client's account, immediately and without prior notice, if the client:
- a) Breaches any provision of these Terms, including the Acceptable Use Policy.
- b) Fails to pay any fee due.
- c) Engages in any fraudulent or illegal activity.
- d) Abuses the service or uses it for purposes other than intended.
- e) Interferes with IQ Source's ability to provide the service to other clients.
14.2. IQ Source may also cancel the client's access to the service if it determines, at its sole discretion, that such cancellation is necessary or advisable to protect the company, its other clients, or the public.
15. Acceptable Use Policy
15.1. The client agrees to use the service in accordance with these terms and the acceptable use policy.
15.2. The Acceptable Use Policy prohibits, among other things, using the service to:
- a) Any illegal or unauthorized activity.
- b) Upload or transmit any defamatory, obscene, hateful, or objectionable material.
- c) Transmit unsolicited or unauthorized advertising or promotional material.
- d) Disrupt or interfere with the service or any other user's use of the service.
- e) Attempt to gain unauthorized access to the service or any other user's account.
15.3. IQ Source may take whatever action it deems necessary to enforce the acceptable use policy, including canceling the client's access to the service.
16. Limitation of Liability
16.1. IQ Source will not be liable for any loss or damage resulting from the cancellation of the client's access to the service.
16.2. To the maximum extent permitted by applicable law, IQ Source will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.
17. Modifications to Terms and Conditions
IQ Source reserves the right to modify these Terms and Conditions at any time. We will notify users of any material changes to these terms at least 15 days in advance. Continued use of the service after such changes constitutes your acceptance of the new Terms and Conditions.
18. Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Costa Rica. Any dispute arising in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of San José, Costa Rica.
